1. Introduction

1.1 These terms and conditions (the “General Terms”) govern your use of the websites operated by NGL Institute Pte. Ltd. (NGLI), an education provider in Singapore, (the “Websites”), and any information, product, or service provided by NGLI on, from, or via the Websites (the “Services”).

1.2 By accessing or using the Websites or Services, whether as a general user or a registered user (“User”), you agree to be bound by these General Terms. References to “we”, “our”, and “us” refer to NGLI.

1.3 These General Terms apply in addition to any other terms or conditions that expressly apply to any of the Services (“Specialised Terms”). In case of any contradiction between these General Terms and the Specialised Terms, the Specialised Terms shall prevail.

1.4 These General Terms also incorporate our Privacy Policy, which outlines how we use any personal information collected as a result of your use of the Services and/or the Websites.

1.5 If you do not agree with these General Terms, you should not access or use the Websites or any of the Services.

1.6 NGLI reserves the right to amend, update, or change the Websites, the Services, or these General Terms without notice. By continuing to use the Websites and/or Services, you agree to the updated General Terms. It is your responsibility to periodically check these General Terms for any amendments or changes.

2. Services

2.1 User Levels:

Level 1 – General User: General access to the Websites free of charge and without registration.
Level 2 – Registered User: Users that register to receive free newsletters or other content or services available from time to time.

2.2 Registered User Responsibilities:

Registered Users acknowledge and agree to:
Maintain the confidentiality of their User Password.
Not disclose their User Password to any other person.
Notify NGLI immediately if their User Password is lost or compromised.
Be solely responsible for all access to and use of the Websites via their User Password.
Not share their User Password or any Registered User services with any other person.
Any information provided to the Websites or NGLI becomes NGLI’s property.

2.3 NGLI reserves the right to refuse access to the Websites or Services or cancel a User’s Registration account at any time.

2.4 NGLI may modify or discontinue the Services or any User’s account, with or without notice, without liability to Users or any other person.

2.5 NGLI’s decisions regarding modification, discontinuance, or refusal of Services are at its sole discretion. NGLI accepts no liability for any consequences of such actions.

3. General Terms of Trade

3.1 The disclaimers, liability limitations, and indemnity in these General Terms apply to all transactions effected through or as a result of accessing the Websites.

3.2 If Users order Services from NGLI through the Websites, the following conditions apply:
Users’ orders are offers to buy products or services which NGLI may accept by providing the products or services.Prices, specifications, and availability of products and services are subject to change without notice.
NGLI may charge Users’ nominated payment methods for the full price and applicable fees.
NGLI endeavors to arrange delivery promptly, but is not liable for delays or errors in delivery.

Risk in the products passes to Users upon delivery, and title passes upon receipt of full payment.
Provision of products or services does not confer any Intellectual Property rights to Users.
NGLI may sub-contract the supply or delivery of products and/or services.

4. User Obligations and Acknowledgements

4.1 The User acknowledges and agrees to:
Use the Websites and Services “as is” and not engage in illegal conduct.
Use information, software, or materials obtained from the Websites or Services legally.
Not use the Websites to cause harm to NGLI, other Users, or any property.
Provide accurate and up-to-date information to NGLI.
Be bound by these General Terms.

5. Warranties and Liability

5.1 Warranties:
NGLI excludes all warranties, whether express or implied, to the fullest extent permitted by law.

5.2 Exclusions and Disclaimers:

NGLI and its affiliates are not liable for any damages or losses arising from:
Access to or use of the Websites or Services.
Reliance on information, data, or software obtained from the Websites or Services.
Inability to access or malfunction of the Websites or Services.
Breach of Privacy Policy.
Loss or misuse of financial information.
Failure or breach of security measures.
Use of the Websites or Services by other Users.
NGLI does not warrant the accuracy, suitability, or completeness of information accessible from the Websites.

5.3 Suitability of Materials:
Materials provided on the Websites or Services are for general informational purposes and do not constitute professional advice.

5.4 Emails, Messages, and Communications:
Users are responsible for the content of messages sent via the Websites.
NGLI reserves the right to add information to messages and prevent transmission of prohibited content.
NGLI may remove any information posted on the Website by Users.

5.5 Links and Other Business Relationships:
NGLI is not responsible for information or opinions published on linked websites.
Users deal with advertisers and merchants on linked websites at their own risk.

5.6 Compliance with Laws:
Users must ensure their access to the Websites complies with applicable laws.
NGLI does not warrant compliance of Website content with laws outside Singapore.

5.7 Indemnification:
Users indemnify NGLI from any claims arising from their breach of these General Terms or use of the Websites.

6. Intellectual Property

6.1 General:
All Intellectual Property rights in the Websites and associated materials belong to NGLI.
Users may not reproduce, adapt, or distribute materials without NGLI’s consent.
User Materials uploaded to the Websites become NGLI’s property.

7. Miscellaneous

7.1 Inconsistency:
Terms specific to a Service take precedence over these General Terms in case of inconsistency.

7.2 No Offers Where Illegality Arises:
NGLI does not offer Services in jurisdictions where it would contravene the law.

7.3 Invitation to Treat:
The Websites and Services are invitations to treat; NGLI reserves the right to provide Services based on its terms.

7.4 Force Majeure:
NGLI is not liable for failure to perform obligations due to events outside its control.

7.5 Use of Feedback:
NGLI may use feedback provided by Users without restriction or compensation.

7.6 Co-operation with Authorities:
NGLI may disclose information to law enforcement or regulatory authorities if required.

7.7 Waiver:

Invalidity of a provision in one jurisdiction does not affect its validity in others or the remaining provisions.

7.12 Termination:
NGLI may terminate these General Terms or User access to Services at any time without notice.

7.13 Language:
These General Terms are prepared in English, and any translations must be consistent with the English version.

7.14 General Enquiries:
NGLI is a company incorporated in Singapore, and all legal content relates to Singapore laws unless stated otherwise.

8. Interpretation

8.1 In these General Terms unless the context otherwise requires:

8.1.1 Headings are provided for reference purposes only;

8.1.2 The singular includes the plural and vice versa;

8.1.3 Reference to a person includes a company or any other entity recognized by Singaporean law and vice versa;

8.1.4 Where a word or phrase is defined, its other grammatical forms have a corresponding meaning;

8.1.5 The use of the word “includes” or “including” is not to be interpreted as limiting the meaning of the words preceding it;

8.1.6 Any agreement, representation, or warranty made by two or more persons is for the collective benefit of all parties involved, jointly and severally.
